## About the role

Lead legal support for capital markets activities, including equity offerings, debt issuances, and capital management initiatives Advise management and the Board on SEC, NYSE, and other securities law requirements, including periodic reporting, insider trading compliance, Regulation FD, and Rule 10b5-1 plans

## What they're looking for

- 10+ years of relevant legal experience at a nationally recognized law firm and/or public company legal department
- J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction in good standing
- Deep expertise in securities law, public company reporting, SOX compliance, and corporate governance
- Proven M&A and strategic transaction experience, including cross-functional project management and coordination of outside counsel
- Strong contract negotiation and drafting skills, with experience advising senior executives, boards, and audit committees
- Genuine enthusiasm for AI-powered legal tools, and a track record of building or improving legal workflows with technology
