Essential Duties and Responsibilities • Transaction Leadership & Deal Execution • Serve as lead internal legal counsel on mergers, acquisitions, divestitures, investments, and strategic transactions from initial diligence through closing and post-closing matters. • Draft, review, and negotiate principal transaction documents, including NDAs, LOIs, term sheets, stock and asset purchase agreements, merger agreements, disclosure schedules, and ancillary agreements (e.g., TSAs, employment and retention agreements, equity-related documents). • Partner closely with Corporate Development, Finance, Tax, HR, IT, and senior management to structure, negotiate, and execute transactions efficiently and in...
