How to use this calculator
  1. Start by listing each shareholder on your cap table - founders, your ESOP, early investors, anyone with equity - along with the percentage they currently own. Use the + Add Holder button to grow the list. The total shouldn't go above 100% - you'll see a warning if it does.
  2. Next, plug in the company's most recent valuation and pick whether that number is pre-money or post-money.
  3. For each upcoming round, fill in the check size, the round's valuation, and again flag whether you're quoting pre-money or post-money.
  4. Everything recalculates as you type - you'll see updated ownership stakes, dollar values, round-by-round dilution, and the valuation step-up between rounds.
  5. On priced rounds you can set a Pool Refresh Target. Investors usually require the option pool topped back up to 10–15% of the post-round cap table, and the new pool is carved out pre-money - so the top-up dilutes existing holders (mostly founders), not the incoming investor. Leave it at 0 to model no refresh; your "Option Pool" holder row is what gets refreshed.
